These Terms & Conditions (the “Terms” or “Agreement”) govern all services, products, equipment, and materials provided by Western Information Technology Services LLC, doing business as WITS IT Services (“WITS,” “we,” “us,” or “our”), to any business or residential customer (“Customer,” “you,” or “your”). By requesting a quote, scheduling an assessment, approving a proposal, purchasing any service or product, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms.
These Terms apply to every engagement between WITS and the Customer, whether business or residential, and govern the entire website and all communications, including email, text message, and telephone communications, between you and WITS.
Order of precedence. Where a signed proposal, statement of work, quote, or managed-services plan (each an “Order”) contains terms that differ from these Terms, the specific terms of the applicable Order will control for that engagement, and these Terms will govern all other matters.
Western Information Technology Services LLC (WITS IT Services), a Utah limited liability company headquartered at 139 N Hunters Grove Lane, Suite 200, Lehi, Utah 84043.
Any business or residential technology service described in these Terms, on the WITS website, or in a written proposal, including managed IT, cybersecurity, cabling, networking, backup, consulting, and residential installation and repair services.
Any hardware, devices, software, licenses, cabling, mounts, accessories, or third-party products supplied, procured, installed, or resold by WITS.
The on-site or remote evaluation WITS performs before residential work begins (currently a $135 assessment), which produces a written plan, quote, and recommendation, and is credited toward the service if the Customer proceeds.
Any quote, proposal, statement of work, service plan, or sales order approved by the Customer in writing, by signature, by text message, or by telephone.
The WITS website located at witsitservices.com and any associated pages or subdomains.
All engagements begin with a defined scope. For residential services, work begins with a paid assessment that produces a written plan and a fixed quote. For business services, work is defined in a service plan, proposal, or statement of work. No billable work beyond an agreed assessment or diagnostic begins until the Customer approves the applicable Order.
Approval may be given in writing, by signature on a proposal, by text message, or by telephone confirmation. Any of these constitutes the Customer’s binding acceptance of the scope, price, equipment, and materials described in that Order.
If WITS identifies work or conditions not contemplated in the approved Order (for example, concealed wiring conditions, additional hardware needs, or previously unknown system issues), WITS will stop and notify the Customer before proceeding. Additional work and its cost must be approved by the Customer before it is performed.
WITS provides estimated arrival windows and will make reasonable efforts to meet them. Same-day and emergency response is offered where noted but is not guaranteed. If the Customer is not available at a scheduled appointment, or the site is not ready or accessible, WITS may charge a reschedule or trip fee as stated in the applicable Order.
WITS may use qualified subcontractors or third-party vendors to perform portions of the Services. WITS remains responsible for the Services performed under the applicable Order.
This section applies to business and commercial Customers. Business Services are delivered under one of the WITS service tiers or under a separate proposal or statement of work. The following service-specific terms apply in addition to the general terms above.
WITS provides outsourced IT support, monitoring, maintenance, cloud administration, and procurement under a recurring monthly plan. Managed IT plans include the coverage described in the applicable plan tier. Managed IT is a proactive service; while WITS monitors systems continuously and applies patches and updates, WITS does not guarantee that every issue will be prevented or that any system will be error-free or continuously available.
WITS provides multi-layered security services, which may include endpoint protection, email filtering, threat monitoring, employee security-awareness training, penetration testing, dark-web monitoring, and assistance achieving and maintaining compliance frameworks such as HIPAA, NIST, PCI DSS, and SOC 2.
No guarantee of absolute security. No security measure is perfect. WITS does not warrant that its services will prevent all intrusions, malware, data loss, breaches, or unauthorized access. Compliance assistance supports the Customer’s own compliance obligations; the Customer remains responsible for its regulatory and legal compliance.
WITS installs Cat6, Cat6A, and fiber-optic cabling, patch panels, and network racks for commercial spaces, with certified termination and documentation on each project. Cabling projects are quoted per project after a design consultation.
WITS designs and installs business networks and WiFi using enterprise equipment such as Cisco Meraki, Ubiquiti UniFi, and Aruba, including VLAN segmentation, guest isolation, and bandwidth management. Network performance depends on factors outside WITS’s control, including the Customer’s internet service, building construction, and third-party equipment; WITS does not guarantee specific throughput or uninterrupted coverage.
WITS architects and manages backup and disaster-recovery solutions with local and offsite/cloud redundancy and tested restoration procedures.
Data responsibility. While WITS uses commercially reasonable methods to protect and restore data, the Customer acknowledges that no backup system is infallible. WITS is not liable for data that cannot be recovered, for data corrupted before backup, or for loss arising from causes beyond WITS’s reasonable control. The Customer is responsible for verifying that backup coverage matches its retention and regulatory requirements.
WITS provides strategic IT planning, project management, vendor management, software licensing, and hardware procurement. When WITS procures equipment or materials on the Customer’s behalf, pricing is governed by Section 6 (Equipment, Materials, and Pricing). Procurement recommendations are advisory; final purchasing decisions rest with the Customer.
WITS offers solutions tailored to specific industries, including healthcare, dental, legal, finance, construction, restaurants and hospitality, nonprofits and education, manufacturing and warehousing, and retail. Industry-specific engagements are delivered under the general and service-specific terms above. Any compliance or regulatory support (for example, HIPAA for healthcare or PCI DSS for retail) assists the Customer’s own obligations and does not transfer legal responsibility for compliance to WITS.
Business managed plans are offered on a month-to-month basis with no long-term contract. Certain plans require a minimum number of users. Either party may cancel a recurring plan with 30 days’ written notice. Upon cancellation, WITS will return the Customer’s data, documentation, and access credentials. Published prices below are current as of the effective date and may be updated as described in Section 5.3.

This section applies to residential Customers. All residential services are performed on-site at the Customer’s home and begin with a paid assessment before any work begins.
Every residential engagement begins with a $135 on-site assessment (or diagnostic, for computer repair). The assessment produces a written plan, an exact project quote, and an honest recommendation. The assessment fee is credited in full toward the service if the Customer proceeds, and is otherwise the Customer’s to keep as payment for the evaluation. Residential pricing is project-based, not hourly; the quoted total is confirmed before work begins.
WITS installs mesh and enterprise WiFi systems and in-home networking. Coverage and speed depend on home construction, layout, and the Customer’s internet service, and cannot be guaranteed to a specific level. Consumer mesh installations start at $900 installed and enterprise UniFi installations start at $1,150 installed, in each case subject to the assessment and final quote.
WITS routes and terminates concealed Cat6, Cat6A, and fiber cabling through walls, attics, and crawl spaces with finished wall plates. Wiring is quoted after the assessment based on run count and routing. Concealed or hazardous conditions discovered during installation are handled under Section 3.2. The Customer confirms ownership of the property or authorization from the property owner before any in-wall work begins.
WITS configures and integrates smart-home platforms and devices such as Google Nest, Apple HomeKit, Amazon Alexa, Ring, Lutron, and Ecobee. Smart-home devices rely on third-party apps, cloud services, and firmware that WITS does not control; WITS does not guarantee ongoing compatibility, feature availability, or uninterrupted operation of third-party platforms. Single-platform integration starts at $350, multi-platform from $650, and full automation from $1,200, subject to the assessment and quote.
WITS installs cameras, CCTV, doorbell cameras, and smart locks (for example, Ring, Nest, Arlo, August, Yale, and Schlage), including mounting, cable routing, weatherproofing, and app setup. WITS does not provide monitoring services and does not guarantee that any security system will prevent theft, intrusion, or property damage. Recording, alerts, and remote viewing depend on the Customer’s internet, power, and third-party services. Camera systems are quoted after a placement assessment.
WITS performs on-site Mac, PC, and device repair, diagnostics, virus and malware removal, hardware upgrades, and data recovery. A $135 flat-rate diagnostic is the service for a diagnostic visit and is credited toward the repair if the Customer proceeds.
Data and repair disclaimer. The Customer is responsible for backing up data before any repair. WITS is not responsible for data loss occurring during repair, for pre-existing data corruption, or for the failure of already-damaged components. Data recovery is offered on a best-effort basis and cannot be guaranteed. If a device is not economical to repair, WITS will say so and the diagnostic fee remains payable.
WITS sets up new computers and devices, transfers data, installs applications, configures accounts, and builds home-office, gaming, and content-creation setups. Device setup starts at $250 following the assessment. WITS is not responsible for third-party account access issues, licensing owned by the Customer, or hardware defects covered by manufacturer warranties.
WITS mounts televisions and installs surround sound, whole-home audio (for example, Sonos), in-ceiling speakers, and projectors, with cabling concealed and systems calibrated before completion. TV mounting on brick, stone, and above-fireplace locations is performed using appropriate hardware; the Customer is responsible for disclosing concealed wiring, gas lines, or structural concerns. Home theater work is quoted after an AV design consultation.
Quoted, markup-inclusive pricing. All equipment, hardware, materials, software, licenses, and third-party products supplied, procured, installed, or resold by WITS are priced on a quoted basis and may include a markup over WITS’s acquisition cost. This markup reflects the value of WITS’s sourcing, procurement, handling, staging, warranty support, installation, and ongoing service.
Pricing factors. Equipment and material pricing may vary based on factors including, but not limited to, the urgency of the request, the risk and complexity of the project, product availability and lead times, current market and supplier conditions, shipping and handling costs, and the level of support and warranty WITS provides. These factors explain why a WITS quote may differ from retail, online, or third-party pricing.
Advance disclosure and approval. All equipment and material pricing is presented to the Customer in a written quote or proposal in advance of purchase. By approving the quote or proposal — in writing, by signature, by text message, or by telephone — the Customer accepts the total quoted price. The quoted total supersedes any published, retail, or third-party pricing, and the Customer agrees that the quoted price is the agreed price for the equipment and materials.
Price validity and approved orders. Quotes are valid for the period stated in the quote and may be revised for orders that have not yet been approved. WITS does not increase the price of equipment or materials already approved by the Customer except where the Customer authorizes a change in scope, quantity, or specifications, or where a supplier imposes a price change beyond WITS’s control that is disclosed to and approved by the Customer before purchase.
Fair-dealing and emergency pricing. WITS prices its equipment and materials in good faith and in compliance with applicable law. Nothing in this section authorizes pricing that would violate any applicable price-gouging or consumer-protection law, including during a declared state of emergency. Urgency-based pricing reflects the genuine cost and value of expedited sourcing and service under normal business conditions.
Title, warranties, and returns. Title to equipment passes to the Customer upon full payment. Third-party equipment and software carry only the warranties provided by their manufacturers or licensors, which WITS will pass through to the Customer where permitted. Returns, restocking fees, and non-returnable items are governed by the applicable supplier’s policy and the approved Order.
Invoices not paid by their due date are past due. Past-due balances may accrue interest at the rate of 1.5% per month (18% per annum), or the maximum rate permitted by Utah law if lower, calculated from the due date until paid in full.
WITS may suspend Services, monitoring, support, or scheduled work, and may withhold delivery or installation of equipment, while any balance remains past due. Suspension for non-payment does not relieve the Customer of accrued fees. The Customer is responsible for all reasonable costs of collection, including collection-agency fees and reasonable attorneys’ fees and court costs, as further described in Section 11.
The Customer must notify WITS in writing of any disputed charge within 15 days of the invoice date. Undisputed portions of an invoice remain due. The parties will work in good faith to resolve billing disputes promptly.
WITS warrants that its installation and repair workmanship will be performed in a professional and workmanlike manner. Unless a different period is stated in the applicable Order, WITS warrants its labor and workmanship for 90 days from completion. WITS will re-perform defective workmanship at no additional labor charge during the warranty period. This warranty does not cover issues caused by the Customer, third parties, misuse, modification, power events, environmental conditions, or failure of third-party equipment or services.
Equipment, hardware, and software supplied by WITS carry only the warranties offered by their manufacturers or licensors. WITS passes through those warranties where permitted but does not itself warrant third-party products. WITS is not the manufacturer and is not responsible for manufacturer defects, recalls, discontinuations, or end-of-life decisions.
Response-time targets, monitoring coverage, and included support are defined by the Customer’s selected plan or Order. Response targets are goals based on normal operating conditions and are not guarantees. Same-day and emergency response, where offered, depends on availability, location, and conditions outside WITS’s control. Managed monitoring aims to detect and resolve many issues proactively but does not guarantee prevention of all incidents, downtime, or data loss.
Except as expressly stated in these Terms or an applicable Order, the Services, equipment, and materials are provided “as is” and “as available.” WITS disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. WITS does not warrant that any system, network, or security measure will be uninterrupted, error-free, or immune from intrusion or data loss.
To the maximum extent permitted by law, WITS and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, revenue, or business interruption, arising out of or relating to the Services, equipment, or materials, even if advised of the possibility of such damages.
Cap on liability. WITS’s total aggregate liability arising out of or relating to any engagement will not exceed the amount the Customer paid to WITS for the specific Service, equipment, or Order giving rise to the claim during the three (3) months preceding the event, or $2,000, whichever is greater. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to the extent prohibited by law.
The Customer agrees to indemnify and hold WITS harmless from claims arising out of the Customer’s misuse of the Services or equipment, the Customer’s violation of law or third-party rights, or the Customer’s failure to maintain proper licenses, authorizations, or backups.
A cancellation request will be without charge if a sales order has not yet been placed or purchased for any device or service. If an Order was placed for devices or services that the Customer approved (by text message, signature, or telephone), the Customer is responsible for the cost and any cancellation implications of that Order, including non-returnable equipment and supplier restocking fees.
Cancellation of Services requested by the Customer will not generate charges if no Services have been provided. If Services or part of them were provided, the Customer will pay the full or proportional cost of the Services performed. Recurring managed plans may be cancelled with 30 days’ written notice as described in Section 4.8.
Satisfaction. If you are not entirely satisfied with any product or service, contact us promptly and we will work to resolve the issue. WITS reserves the right to pursue any amount owed for services or devices provided and approved by the Customer.
WITS grants a revocable, non-exclusive, non-transferable, limited license to access and use the Website in accordance with these Terms. You agree not to, and will not permit others to:
Governing law. These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles.
Jurisdiction and venue. The parties agree that the exclusive jurisdiction and venue for any dispute not resolved informally will be the state and federal courts located in Salt Lake County or Utah County, Utah, and each party consents to the personal jurisdiction of those courts.
Informal resolution first. Before commencing any legal action, the parties agree to attempt in good faith to resolve any dispute through direct negotiation, and, if unresolved, through non-binding mediation in Utah. This requirement does not apply to WITS’s collection of undisputed past-due amounts.
Attorneys’ fees. In any action to enforce these Terms or collect amounts owed, the prevailing party is entitled to recover its reasonable attorneys’ fees and costs. WITS reserves the right to sue or file a claim in court to recover any amount owed for services or devices provided and approved by the Customer.
By using our Website, registering an account, or making a purchase, you consent to these Terms. We use cookies to enhance Website functionality; cookies are small data files stored on your device, and disabling them may limit certain features.
Any feedback, comments, ideas, or suggestions you provide about our Website or Services become the property of WITS, and we may use, modify, publish, or distribute them without obligation to compensate you.
The Website may display third-party content or link to third-party websites or services. WITS is not responsible for the content, accuracy, or legal compliance of third-party services. WITS handles Customer data in accordance with applicable law and uses it to provide and improve the Services.
Amendments. WITS reserves the right to adjust prices and revise these Terms and its policies at any time. Updated Terms are effective when posted to the Website. Continued use of the Services after an update constitutes acceptance of the revised Terms.
Entire agreement. These Terms, together with any approved Order, constitute the entire agreement between the parties regarding the Services and supersede prior understandings on that subject.
Severability. If any provision is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted.
Assignment. The Customer may not assign these Terms without WITS’s written consent. WITS may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force majeure. WITS is not liable for delays or failures caused by events beyond its reasonable control, including supplier delays, internet or utility outages, natural events, or labor shortages.
Limitation of liability (website). Under no circumstances shall WITS be liable for any direct, indirect, special, incidental, or consequential damages arising out of the use of, or inability to use, the materials on the Website, even if WITS has been advised of the possibility of such damages.
